Vice President- Ambulatory & Real Estate Counsel

The System Director, Senior Counsel is an attorney with significant experience providing legal services to healthcare organizations and healthcare-related operations. The Senior Counsel provides primary legal support for one or more designated systemwide operational functions (for example, supply chain, information technology/services, clinically integrated networks, health plans, ambulatory services, real estate, revenue cycle, or clinical research), including responsibility for contractual and transaction matters, joint ventures, regulatory issues, and governance issues within the Counsel's designated responsibility areas. The Senior Counsel also provides support as needed in other operational areas, and takes a lead or participatory role in developing or revising relevant policies, procedures, systems and tools to assist internal clients in achieving business goal in an efficient and legally compliant manner. The Senior Counsel works with and manages outside counsel as needed.

The Senior Counsel should have significant experience with applicable healthcare and related laws and regulations, and maintain strong functional knowledge of current and evolving industry practices within their designated responsibility areas, including with respect to contract terms, transaction structures and documents, due diligence processes, and regulatory risk areas. This Counsel should have the ability to structure and understand corporate governance documents, and the ability to clearly explain the operational implications of applicable health care laws and regulations, including those relating to: Stark, Anti-Kickback, tax-exemption, and HIPAA.

This position requires the ability to work independently at a law firm senior associate/of counsel level, work at the direction of a more senior attorney in the Legal Services Department, and collaboratively with all members of the Legal Services Department and with other staff to achieve results. It also requires providing services in a consistently timely and professional manner in a diverse setting.

The Senior Counsel reports to the Vice President, Deputy General Counsel. The Senior Counsel may serve as an initial contact attorney for designated entities. The Senior Counsel should demonstrate initiative and excellent judgment. The attorney must be capable of independent, clear thinking that zeroes in on key issues, with an appreciation of relevant business and operational dynamics.

Education/Skills:

  • Juris Doctor degree

  • Excellent drafting, writing, research and analytical skills

  • Solid knowledge of laws and regulations arising in connection with the operation of nonprofit hospitals and related health systems.

  • Ability to operationalize business and mission goals in contracts and business structures with simplicity and clarity

  • Excellent interpersonal and communication skills

  • Orientation towards effective problem-solving that takes into account relevant business, regulatory and practical concerns.

  • Ability to work simultaneously with many different clients and colleagues, on multiple matters

  • Ability to promptly and efficiently review, analyze and apply large amounts of information in connection with contracts, transactions and other projects

  • Ability to succinctly describe legal issues in oral and written communications with managers, senior leaders, and staff across the System

  • Ability to adhere to deadlines and manage competing priorities in a fast-paced environment

  • Strong computer skills in Microsoft Word, Excel, PowerPoint, and Outlook

  • 10-20 percent travel required

Experience:

  • Eight or more years of health care related legal experience in a law firm or in-house counsel setting

Licenses, Registrations, or Certifications:

  • License to practice law, preferably in Texas

  • If not licensed in Texas, ability to become so licensed within one year of assuming position
